VenuValet CLIENT SERVICES AGREEMENT

1. SCOPE OF SERVICES VenuValet LLC ("VenuValet") agrees to provide venue sourcing, negotiation, and booking coordination services for the Client. We act as an intermediary to secure private dining and event spaces that match the Client’s criteria.

2. PRICING & AVAILABILITY (The 48-Hour Rule) All quotes, menus, and proposal details provided by VenuValet are based on current availability from our venue partners.

·       Validity: Due to the high demand for private spaces, availability and pricing are only valid for 48 hours from the time the proposal is sent.

·       No Holds: A proposal does not constitute a "hold" on the room. A space is only secured once the Venue’s required deposit has been paid and their contract signed.

3. FINANCIAL RESPONSIBILITY

·       Venue Minimums: The Client acknowledges that private spaces often require a Food & Beverage Minimum Spend. The Client is responsible for meeting this minimum, regardless of final guest attendance.

·       Direct Payments: Unless otherwise agreed, the Client will pay all deposits and final balances directly to the Venue. VenuValet does not advance funds on behalf of the Client.

4. CANCELLATIONS & GUEST COUNTS (The "Final Guarantee")

  • Final Guarantee: The Client must provide a final confirmed guest count to VenuValet no later than 72 hours prior to the event.

  • Payment Responsibility: If the actual attendance is lower than the Final Guarantee, the Client is responsible for payment based on the guaranteed count OR the Food & Beverage Minimum, whichever is greater.

  • Venue Policy: The Client is subject to the specific cancellation and refund policies of the selected Venue. VenuValet is not responsible for non-refundable deposits retained by the Venue.

5. LIMITATION OF LIABILITY VenuValet acts solely as a booking agent and consultant. We do not own, operate, or control the Venue. VenuValet LLC is not liable for:

·       Service failures, food quality issues, or safety hazards occurring at the Venue.

·       Cancellations by the Venue due to force majeure (weather, fire, etc.) or operational decisions.

6. AGREEMENT By proceeding with a booking presented by VenuValet, the Client agrees to these terms.
